In this Terms of Service, “4WRD Labs” refers to the diagnostic platform and product operated by 4WRD Advisory Inc. References to “4WRD Labs,” “we,” “us,” or “our” mean 4WRD Advisory Inc.
These Terms of Service (“Terms”) govern your access to and use of the diagnostic platform operated by 4WRD Advisory Inc. (“4WRD,” “we,” “us,” or “our”) at 4wrdlabs.ai. By accessing or using the platform, you agree to be bound by these Terms. If you do not agree, do not use the platform.
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be subject to the exclusive jurisdiction of the courts of Ontario.
If you are accepting these Terms on behalf of a company, fund, or other organization, you represent and warrant that you have the authority to bind that organization to these Terms, and references to “you” in these Terms will refer to that organization.
The platform is intended for business, professional, and commercial use only. You represent and warrant that you are accessing and using the platform for purposes related to your trade, business, or profession, and not for personal, family, or household purposes.
4WRD Labs.ai is an AI-powered business diagnostic platform that analyzes inputs you provide about your company across GTM, marketing, culture, compensation planning, and related dimensions. The platform generates scored assessments, narrative analysis, and action recommendations based on your inputs and comparison against benchmark data.
The diagnostic output is generated using artificial intelligence and is intended as advisory input to support your decision-making. It does not constitute professional financial, legal, accounting, or management consulting advice.
You must be at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or your organization. By using the platform, you represent and warrant that you meet these requirements.
Access to the full diagnostic platform requires a one-time payment as displayed at the time of purchase. All prices for self-serve platform access are shown and charged in US dollars (USD) at checkout. Pricing for custom or portfolio program engagements may differ and will be specified in the applicable separate agreement (see Section 5, Portfolio Program Participation). Payment is processed securely by Stripe Inc.
Your purchase grants you access to run the diagnostic for one company context. Re-runs are permitted at no additional charge. Re-run eligibility follows the platform’s standard re-assessment cadence, which determines when a new diagnostic cycle becomes available following your prior assessment. Your account will indicate when you are eligible to begin a new cycle.
If your company is participating in the platform through a venture capital or private equity fund’s portfolio program, your access is provided under arrangements between 4WRD Labs and that fund. Portfolio companies participating through a fund’s program are not charged directly for platform access.
By accepting an invitation to participate in a fund’s portfolio program, you acknowledge and agree that:
If you have questions about the specific commercial terms governing your company’s participation, please contact the fund that invited you or 4WRD Labs directly.
Portfolio, investor, venture capital, private equity, accelerator, or enterprise engagements may be subject to a separate written agreement, order form, statement of work, or program agreement. If there is a conflict between these Terms and such a separate written agreement, the separate written agreement will govern for that engagement.
All purchases are final. We do not offer refunds once a diagnostic has been initiated. Before completing your purchase, the platform will display the total cost and these Terms, including this refund policy, for your review.
If you experience a technical failure that prevents you from accessing your results, contact us at info@4wrd.ca and we will work to resolve the issue.
The diagnostic output — including scores, narrative analysis, governing constraint identification, and action recommendations — is generated by artificial intelligence based on the inputs you provide. This output:
4WRD Advisory Inc. makes no warranties, express or implied, regarding the accuracy, completeness, or fitness for a particular purpose of the diagnostic output.
The platform compares your scores against benchmark data derived from published industry research including KeyBanc Capital Markets, OpenView/High Alpha, Benchmarkit, and Bridge Group, as well as 4WRD Advisory’s proprietary methodology. Benchmark data is provided for reference purposes only. Past industry performance is not indicative of future results for any individual company.
You agree not to:
The platform, including its scoring methodology, AI prompts, benchmark data, user interface, and brand elements, is the intellectual property of 4WRD Advisory Inc. and is protected by Canadian copyright and intellectual property law.
You retain ownership of the inputs you provide. The diagnostic output generated from your inputs is licensed to you for your internal business use. You may not resell, publish, or distribute the output as a standalone product.
To the maximum extent permitted by applicable law in Ontario, 4WRD Advisory Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform or reliance on diagnostic output, even if advised of the possibility of such damages.
Our total liability to you for any claim arising from your use of the platform shall not exceed the amount you paid for the diagnostic in the twelve months preceding the claim.
These limitations do not apply to damages arising from 4WRD Advisory Inc.’s gross negligence, fraud, or willful misconduct.
You agree to indemnify and hold harmless 4WRD Advisory Inc. and its officers, directors, and employees from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the platform, violation of these Terms, or infringement of any third-party rights. This indemnification obligation does not apply to the extent a claim arises from 4WRD Advisory Inc.'s gross negligence, fraud, or willful misconduct.
Any dispute arising out of or relating to these Terms or your use of the platform will be resolved on an individual basis. You agree that you may bring claims against 4WRD Advisory Inc. only in your individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. If any part of this waiver is found unenforceable, the remainder of these Terms will remain in effect, and any dispute regarding this waiver’s enforceability will be resolved by a court of competent jurisdiction in Ontario.
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a revised effective date. Continued use of the platform after changes constitutes acceptance of the updated Terms.
Either party may terminate access to the platform at any time. If your access is terminated — whether due to non-payment, the conclusion of your fund’s portfolio program, a violation of these Terms, or your own request — your access to the platform and to any previously generated reports ends immediately. You may request an export of your data prior to termination by contacting us in advance; once your account is closed, your data will be deleted in accordance with our Privacy Policy.
